    Not Charity Intended package is suitable if you are certain that your organization has no intention to be a charitable organization in future. Generally, these type of organizations are: community associations, sports and recreation, arts and cultural groups, health and wellness groups, housing, newcomer settlement etc.
  • What is 'Charity Intended in Future' package?
    Charity Intended package' is suitable if you think that you want to keep the option open for being a charitable organization in future. Generally these type of organizations are: faith-based institutions, for relief of poverty, to promote education and awareness, senior services, social services or to promote any specific benefit to community.
  • How to get organization's by-law?
    We offer the service to prepare by-law of your organization. Our in-house legal team and accounting team prepare, review and finalize the by-law as per not-for-profit corporation act. You will be given option to add by-law in the package in next steps.
  • Is it a one-time payment?
    Yes. It's a one-time payment and there is no monthly or annual fees.
  • How should I receive the documents?
    You will place order online by filling up the form and paying by credit card/interac-e-transfer. Upon order receiving, we review your order and register accordingly. You will receive your corporate documents in email. If your order includes any shipping items, you will also receive by Canada Post in your business address.

  • Why activities are so important?
    To qualify as a charity, an organization must have purposes that are exclusively charitable and charitable activities that support those purposes. The purposes (also called objects) describe the aim or main intent of the organization. The activities describe how your organization will accomplish its purposes.
  • How to describe the activities?
    When describing a charitable activity, keep the following points in mind:
    • what you want to achieve
    • how you're doing it – detailed plans
    • who the beneficiaries are and how they are selected any fees charged
    • frequency and length of the activity
    • involvement of employees and volunteers
    • how you maintain direction and control over activities and resources
    • other logistics (transportation, facilities, etc.)

  • Ontario Name Rules
    Name must be unique, should not be similar to other businesses. Name must, preferably, have the following components:
    1. A unique or distinctive word such as made-up word or a person's name.
    2. Second part of the name describes the service your business is offering.
    Examples of good name ideas are: ABCXYZ Home Renovation, Sarah's Mexican Restaurant, Thunder Bay home renovations. The name must contain a distinctive element followed by a descriptive element. Example: ABCXYZ Manufacturing.
    In the above name, 'ABCXYZ' is the distinctive element and 'Manufacturing'.
  • What is a NUANS Report?
    It is a computerized name search report generated based on a proposed corporate / business name or trade-mark from Government databases listing similar and conflicting names of existing business names and trademarks. To incorporate an Ontario Corporation or a Federal Corporation an appropriate NUANS Report is required.
  • Are there different type of NUANS?
    Yes. There are 2 different kinds of reports:
    • A NUANS report for Federal and a NUANS report for each of the following provinces: Ontario, Alberta & New Brunswick.
    • The rest of the Canadian provinces have their own name approval processes and doesn't require a NUANS report. Examples of such jurisdictions are: B.C., Quebec, Manitoba, Saskatchewan, Newfoundland & Labrador, PEI, Yukon, they each require a name search report from their respective provincial database and registry and NOT from the NUANS database.
  • Why do I need a NUANS & name approval ?
    NUANS report is required for all named incorporations. NUANS report is a name search report which doesn't guarantee acceptance of that name by Service Ontario. We, along with the NUANS report do an analysis of the name so that it is acceptable for a corporation's name.

  • The proposed incorporation date is official registration date for the corporation. It is also called the anniversary date or the date in which the following year, corporation's annual return gets due. Requested date for incorporation cannot be in past date.   • Why an Address in Ontario is required?
    All Corporations in Ontario need a Physical or street address in the province, it can be rental place or home address.
  • Is this address changeable?
    Yes, this address can be changed later. In many cases when commercial place is not rented yet, residential address is given.
  • What is a Registered office address & mail scanning service?
    • If you are setting up a business in Ontario but you don’t have a street address in Ontario then we have an address service which you can make use of. This is primarily a document scan and mail service.
    • With this address added to the package, we will receive all documents that were sent to the business by Canada Revenue Agency, Ontario Government and other Government entities and forward them to you in the form of scanned email copies.

    Yes, you have the choice to renew it on an annual basis. Normally, the price remains same.

  • Who can be a Contact person?
    Usually Director is the Contact Person of the Corporation, it can also be a service provider like an accountant or a lawyer.
  • Director(s) - Minimum of 3 Directors is REQUIRED

  • Directors supervise the overall management of the corporation and make all major decisions and they assume certain liabilities. Each director has equal power and may require to be present during the opening of the bank account. Therefore, trustable and decision making individual(s) should be added to this role.

    A director must be person of :
    • at least 18 yrs of age.
    • of sound mind or mentally stable.
    • not declared in a state of bankruptcy.
  • What is the Residency Requirement for a director?
    There is no specific residency requirement for an Ontario Corporation. A Canadian national or foreign national can be the director(s) of an Ontario Corporation. The latest amendment (July 5, 2021) on Ontario Business Corporation Act has removed the previous residency requirement for an Ontario corporation.
  • Can I add or Remove a director later?
    Yes. A director can be added or removed at a later time.

  • An incorporator is an individual or company who is requesting to incorporate. Generally, all the individuals who are directors are also be incorporators. If you are submitting for incorporation on behalf of your client then it should be your client's information here, not yours.

  • Who is an incorporator?
    An Incorporator can be an Individual or another Company, usually all Directors are Incorporators.
  • Articles of Incorporation

  • Standard: Our standard articles include all standard clauses for a regular Registered Charity corporation to operate in Canada. You cannot add a personalized or custom clause.

    Custom: With this option you have the flexibility to include custom clauses to be inserted in the articles for your your special needs, if any. Choose this option if you require such an option and provide a write up of your special requirements.

  • Can I change the Articles of Incorporation?
    Once the corporation is registered, the Articles of Incorporation is also registered with government. The articles of an incorporated business could be changed with proper filing (Articles of Amendment) and fees.
  • Do I need custom articles?
    The requirement to customize articles varies so that we cannot suggest how to customize. As a simple guidance, organizations customize articles to accommodate special requirements like multi-tier member classes, specific duration of directors in the position, clauses on limited by guarantee, etc. In general, if you don't have a reason then no customization is required.

    Officers in a corporation manage the daily activities of the corporation. They can also be part of the board of directors. The common Officers titles are President, Secretary, Treasurer, VP, CEO.
  • Which title to choose for Officers?
    There is no specific rule regarding the titles of officers. You can use any title among that fits the best of the duties of the officer. Almost all corporations have an officer titled ‘President’, which might be useful for the operation of a corporation or when preparing legal contracts/documents.

    Unless there is a specific reason for it, same title for more than one officer is not advisable.

    Member of a corporation can be an individual or another company. They might have voting rights and are comparable to shareholders of business corporations. There can be 1 type or 2 types of members - those with voting rights and those without voting powers

  • Who needs a GST/HST account?
    If you sell products and services in Canada and collect GST/HST from your Customers, then GST/HST Account Number is Required.
  • Who needs a payroll account?
    If you hire Employees including yourself, then you need a Payroll Account Number.
  • Who needs an Import account?
    If you Import Goods into Canada, then you need an Import Account Number.
  • Who needs an Export account?
    If you Export Goods out of Canada, then you need an Export Account Number.
  • Why should I choose in package?
    1. These Services when added with the package costs less. To do this services later involves manual process and cost more money and takes longer time.
    2. Cost that occurs during business set up, is called Business Development Expenses, is tax claimable. Costs that occurs after business already registered, is called operational cost, is not tax claimable. These costs will occur at any way, since these are mandatory filing, therefore, it's wise to include in package.

  • An Ontario non-profit must file an Initial Return under the Corporations Information Act (CIA) setting out the prescribed information within 60 days after the date of incorporation.
  • If you hire or plan to hire one or more Employees, you may need to register for Workplace Safety and Insurance Board (WSIB) Account.

  • Is initial return is mandatory?
    Yes, it's mandatory filing as per Corporation Act. Corporations must complete and submit an Initial Return to the Ontario Ministry within 60 days after the date of incorporation. This form establishes/confirms the company head office, directors/officers of the corporation. Failed to file Initial Return, may nullify your corporation by Service Ontario.
  • Who needs to register with WSIB?
    • Registering with Workplace Safety and Insurance Board (WSIB) is required for most businesses In Ontario within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WSIB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WSIB anyways for protection to their workers.
    • WSIB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.
