  • How name approval works?
    For a professional corporation, a name approval from the government is required. If you have already obtained it, you can upload it or we can obtain the name approval for you. Since, we are a member of Corporations Canada and provincial government, we have access to the corporate name database. We pre-check the name availability and only then submit to the government. If the pre-check shows conflicts, you have option to provide us more names (up to 3 times) at free of cost.

  • It involves two steps. In the first step, the name approval for your corporation is obtained, and in second step, the corporation is registered in government's system. The government has service speed queues. If you have already obtained the name approval, the first step is done for you.

  • To register a corporation in this province, a local provincial physical address is required where the government will send documents. If you do not have a physical address in this province, our agency provides address and mail scanning service.

  • What is corporation's address?
    It is the location where business is located. It can be a commercial rented place or home address. It can't be a P.O Box, must be a physical address. CRA documents will go to this address.
  • Can I change this address later?
    Yes, these address can be changed later. In many cases when commercial place is not rented yet, residential address is given.
  • Do you provide address service?
    If you do not have a local provincial address, we provide registered address and mail scanning service. Please click, on the form where says, "If you don't have address in this province, click here"
  • Is the address service renewable?
    Yes, you have the choice to renew it on an annual basis. Normally, the price remains same.

  • 3.1. Primary Director: the overall head of the corporation

  • Who is a director?
    A director is the overall head of the corporation (i.e. the owner, the member of the regulatory body). You can add more than one director (up to 5) as long as they are eligible member of the regulatory body. Each director has equal power and control to the corporation. Please note, minimum 25% of the directors (1 of our 4) must be either Canadian citizen or permanent resident.
  • How about doing for a client?
    If you are doing corporation for a client, please do not write here your name. This place is the name of the primary owner of the corporation. We don't contact this person, rather we contact the person mentioned in billing address. You can write your details in the billing address during checkout.

    Each director has equal power and control over the corporation. Second director can remove primary director and vice versa. Therefore, you may add additional director whom you trust. You may add a director at a later time as well. Please note, minimum 25% of the directors (1 of our 4) must be either Canadian citizen or permanent resident.
  • Can I add a director later?
    Yes. A director can be added or removed at a later time. That could be done through our website.
  • Any age restriction for a director?
    Director must be an individual who is 18 year old or more.

  • Who is an incorporator?
    Incorporator is the person(s), under whose authority this corporation is being created. Typically, all the directors are the incorporators.
  • How about doing for a client?
    If you are doing for a client, you may choose 'all directors are incorporators'. We do not contact your clients, rather we contact the person in the billing address. You may write your details in billing address.
  • What is best for a holding company?
    If you are incorporating a holding company, then you may choose the option, 'incorporator is another corporation'.
  • Corporation's Bylaws and Minute Book

  • Why Minute Book Matters?

  • A Minute book is a corporate legal document prepared by our legal and accounting team. As per corporation act, a Minute book is MANDATORY. Minute book consists of by laws, share structure & other legal sections. It's REQUIRED to open bank account. Without it, a corporation is not complete. A Minute book must be presented when corporation is audited. The next page will skip if you do not choose Minute Book. We left here as optional because many law firms incorporate with us who prepare their own minute book.

  • Is minutebook required?
    Yes, it's mandatory as per corporation act. The owners, shareholders, share structure and share class are defined in minutebook. If you do not select minutebook, the next step "Share & Shareholders" section will skip assuming you will do minutebook with another firm.
  • Any advantage of doing in package?
    When you incorporate a company, the expenses are called business development expense which is tax creditable. Any spending you do after incorporation, is considered as operating expense which are not tax creditable. Doing it separately later is a manual process which cost more and takes longer time.

  • What is an officer?
    Anybody including an employee can be an officer to the corporation. It's not as important as of director. It's changeable later at any time.
  • What designation to choose?
    Any designation is fine. It's more important for a big corporation. It's changeable later.
  • Can same person be in many roles?
    Yes, same person can be director, incorporator, officer and shareholder. Most new corporation starts in that manner and changes when it grows bigger.

  • What price to put for shares?
    This is just initial set up. It's changeable later when company becomes big. Most people use $1 as initial price.
  • What is class B shares?
    These are weaker than class A. Most people don't issue it in the beginning. Some people issue in case they are selling some of their shares to others.
  • Can I change these later?
    Yes, share price and share number can be changed any time. Now you are setting up just initial price, any number is okay since you don't know how company will perform.

  • What number of share I put?
    If you are the only shareholder, any number is okay, 100% owned by you. Most people put 1. It's changeable later. If more than one shareholder, put proportionately.
  • Can I change shareholder later?
    Yes. You can add or remove sharehodler later at anytime.
  • How to put share in percentage?
    Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.
  • CRA Account Registrations

  • Why need Business Number?
    Every corporation MUST have a unique business number from CRA. This is your 9 digit business identification number with CRA. This is a mandatory registration with CRA; either you do with us or any accounting firm.
  • Why need corporate tax ID?
    Every corporation MUST have a corporate tax ID. This is similar to the SIN number of a person. To report corporation's income tax (even income is zero), Tax ID is required. It's a mandatory account (either you do with us or do in another accounting firm). Some people call it as RC number. Corporate Tax ID is a combination of your CRA business number with RC0001.
  • Why need GST/HST account?
    It's the initial set up for a GST/HST account with CRA. Every corporation must have a GST/HST account to collect GST upon sales. Customer's invoice or receipt must show the GST/HST number as well. Unable to collect GST/HST, may cause penalty by CRA. Many people call it RT number. A GST/HST account is a combination of your CRA number and RT0001.
  • What is payroll account?
    Payroll account applicable in all cases. Even if you do not have employee, your own salary to be processed through payroll account. Please note, this is not payroll service, but the initial set up of payroll account with CRA. Many people call it RP number. A GST/HST account is a combination of your CRA number and RP0001.
  • What is import export account?
    If your business involves in importing or exporting physical goods, it is required. The government uses this account to process the customs clearance. Many people call it RM number. A export import account is a combination of your CRA number and RM0001.
  • Other Registrations

  • Why should I choose in package?
    Two major benefits. 1. Tax claimable: cost that occurs during business set up, is called Business Development Expenses, is tax claimable. Costs that occurs after business already registered, is called operational cost, is not tax claimable. These costs will occur at any way, since these are mandatory filing, therefore, it's wise to include in package.2. The default process is, these filing to be done together with corporation; hence, it's cheaper in package. To do this services later; there are manual forms and process; hence, costs more money and takes longer processing time.
  • What is domain name?
    We are an agent of global domain registration. After your company name gets approved, we can instantly reserve a domain in your company name (example: www.companyname.com)
  • What is WCB registration?
    It's workers' compensation board. If your corporation plan to have employees now or in future, it MUST register with WCB. We register and give you the account number and hook you with WCB authority. Please note, it does not cost monthly premium fees, rather WCB authority will advise on your eligibility of free program or fees.

  • What is share certificate?
    Share certificates is the legal and official proof of ownership of corporation. You need it to show in any official purpose such as bank, contracts, mortgage etc. It's an absolute recommended items if you have more than one shareholder. We will send some blanks certificates as well which could be used in future in case you add any other person (such as spouse, child, friend) as shareholder.
  • What is corporate seal?
    Seal is a protection against fraudulent activity. It has legal value (by default defends) in case anybody create false docs or make false loan in your company name. It's highly recommended if your company has frequent transactions or provide receipt, invoices. It's also needed if you go for loan, mortgage, employment contract, service contract or any sub-contract.
  • What does service support include?
    It includes legal, accounting and corporation update services. Every new corporation receives notices from CRA, federal & provincial government, competitor business etc. As a small company, if you do not have your own lawyer and accountant, then our legal and accounting team here for you. It's a $399 dollar service, but only $99 with package.
  • How supplies will be shipped?
    Supplies (physical minute book, share certificate, corporate seal) will be shipped by Canada Post (expedited) and you will receive a tracking number in your email. Please note, this address is for shipping of supplies only. Government documents always go to corporation's address.

We are Business Canada ('Company', 'we', 'us', or 'our'). Business Canada is a registered Company in Mississauga, Ontario, Canada. These Terms and Conditions constitute a legally binding Agreement between Business Canada and all its Users. Business Canada is a private company that provides business registration services. We are not a government agency and are not affiliated with, endorsed by, or connected to any federal, provincial, or municipal government. Our services involve preparing and submitting documents to government agencies on your behalf, for which we charge service fees separate from any government fees.

It is your responsibility as a User to ensure that your use of this Website and our services complies with the laws and regulations of your country or jurisdiction.

2. Intellectual Property Rights

2.1 Our Intellectual Property Rights

The materials on this Website — including all content, features, illustrations, images, icons, and logos — are the intellectual property of Business Canada, protected by domestic and international copyright, trademark, and other intellectual property laws.

You are authorized to print or download pages from the Website for your own business purposes, or if you are a professional intermediary, on behalf of your clients. You are NOT allowed to:

Professional Intermediaries: Lawyers, accountants, business consultants, and other professionals may purchase our services on behalf of their clients. In such cases, the professional intermediary is the customer of record and is responsible for payment, communication, and compliance with these Terms and Conditions.

Prohibited Uses: You may not:

  • Resell, white-label, rebrand, or redistribute our services as your own
  • Use our services to operate a competing incorporation or business registration service
  • Violate any laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to our systems
  • Use our Services to distribute harmful or illegal content

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

4. Users' Representations

By using the Services, you indicate and certify that:

  • All the information you provide to us is true, correct, and complete
  • You will inform us immediately if there is any change in your information
  • You have the legal age and capacity to enter into this Agreement
  • You will only use our Website and Services for legal and authorized purposes
  • You will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your order and refuse any current or future use of our Services.

5. Users' Restrictions

By using this Website, you are solely responsible for the activities that occur when you use our Site or Services. You are not allowed to transmit or post any content that is unlawful, offensive, threatening, defamatory, or obscene. Business Canada reserves the right to determine whether any content is appropriate and complies with these Terms and Conditions.

6. Users' Identity Verification and Authorization for Payment

Business Canada follows the standard rules of Identity Verification according to Canadian law, including PIPEDA and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business. We will not process an order or offer a service until:

  • A successful Identity Verification of the payer is completed
  • Consent of Authorization for the payment has been obtained

7. Users' Data

We will maintain certain data that you transmit to the Services for the purpose of managing performance. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. We shall have no liability to you for any loss or corruption of any such data.

7.1 Data Retention

Business Canada retains customer information for varying periods based on the nature of the data and applicable legal requirements:

  • Financial Records: Billing information and credit card transaction records are retained for six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.
  • Order Documentation: Documents collected or generated in connection with orders are available in digital form at no additional charge for up to ninety (90) days following the completion of the order. After this 90-day period, a new service request and applicable fees will apply for document retrieval.

8. Products and Services

We make every effort to display accurate information about our products and services. However, we cannot certify that all information provided on our Website is correct, complete, or free of errors. Products and services are subject to availability, and prices are subject to change. We reserve the right to discontinue any products or services at any time for any reason.

8.1 Address Service

The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Business Canada solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.

A separate Address Service Agreement must be fully executed before the service is active. The mail scanning service includes the following limitations:

  • Only official government correspondence will be accepted, scanned, and forwarded digitally to the User
  • All other mail, including bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender
  • Business Canada assumes no liability for refused mail or any consequences arising from such refusal

The Address Service is provided on an annual subscription basis. If renewal payment is not received within thirty (30) days after the expiry date:

  • The outstanding amount will be sent to a collection agency
  • Business Canada will notify the relevant government authorities that the business is using the address without authorization
  • The User will be notified via phone and email before such actions are taken
  • The User may face legal consequences for unauthorized use of the address

8.2 Agent Service (Agent for Service / Attorney Service)

The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. A separate Agent Service Agreement must be fully executed before the service commences.

The appointed agent does not have authority to:

  • Conduct business operations on behalf of the User
  • Enter into contracts or agreements
  • Make business decisions
  • Represent the User in any capacity beyond statutory requirements

The Agent Service operates under the same annual subscription model as the Address Service, including all renewal, non-payment, and notification terms outlined in Section 8.1.

8.3 Government Information and Documentation Fees

Certain government-issued identifiers such as a Business Number or Ontario Company Key are issued at no cost by the government. However, Business Canada charges a service fee for:

  • Retrieving these credentials from government systems
  • Securing and safeguarding this sensitive information
  • Delivering the information through secure channels
  • Providing guidance on proper usage and security

8.4 Instant and Automated Products

Certain products such as instant name searches, NUANS reports, and document retrievals are generated or delivered automatically upon order placement. Because processing begins immediately, these products may be non-refundable as set out in Section 12.

9. Purchases and Payment

All prices are in Canadian currency (CAD). We accept the following forms of payment:

  • Visa
  • Mastercard
  • American Express
  • Discover
  • PayPal
  • Interac

By ordering our Services or Products, you agree to provide current, complete, and accurate payment information. A binding contract between you and Business Canada is formed at the moment your payment is successfully processed.

We reserve the right to reject any order if we consider there is a discrepancy, a possible scam, or if it does not meet our verification requirements. Billing errors such as duplicate charges will be corrected through administrative adjustments, handled separately from our Refund Policy.

10. Service Term and Termination

These Legal Terms shall remain in full force and effect while you use our Services. We reserve the right to deny access, terminate accounts, or remove posted content at any time and for any reason without notice or liability.

We may terminate our services with you in the following cases:

  • If you violate our Agreement
  • If we cannot verify your identity
  • If we believe there is any suspicious activity on your part
  • If you do not provide the documentation we request in a timely manner

When an agreement expires at the natural end of its term, no refund is available as the service has already been fully provided.

11. Service Limitation and Expiration

11.1 Suspension and Termination

Business Canada reserves the right to suspend or terminate a service if there are consistent and material violations of policies, or if suspension or termination is required by law.

11.2 Abandoned Orders

If Business Canada requires additional information from a User and the User fails to respond, the following protocol applies:

  • Initial contact is made by phone and email
  • A second reminder is sent if no response is received within 7 days
  • A third and final reminder with a deadline is sent after a further 7 days
  • If no response is received within 28 days of initial contact, the order is deemed abandoned and closed with no refund issued

Reactivation of abandoned orders is at our sole discretion and may require a reactivation fee before Services can resume.

12. Refund Policy

Refund eligibility is determined by the work completed at the time of your cancellation request. If you wish to cancel your order, contact us as soon as possible.

12.1 Non-Refundable Fees

The following fees are non-refundable for all orders, regardless of order value, completion status, or timing of cancellation:

  • Payment Processing Fees
  • Agency Fee (also referred to as Service Fee or Business Canada Fee)
  • Instant, Automated, or API-Delivered Product Fees (including Instant NUANS reports)
  • Name Search & Analysis Fees
  • Specialist Review Fees
  • Nuans® Report Fees
  • Name Approval Fees
  • Document Retrieval Fees

These fees are non-refundable even if the order was placed in error or cancellation is requested immediately after ordering. Business Canada is a private company, not a government agency. Belief that you were transacting with a government entity is not grounds for a refund.

12.2 Refundable Fees Under Certain Conditions

  • Government Fees – only if filing has not been submitted to the government yet
  • Draft Fees – only if a draft has not been sent for approval via email yet
  • Company Key Retrieval Fees – only if the company key has not been requested from the government yet
  • Shipping Fees – only if the shipping department has not started preparing the physical items
  • Future Date Fees – only if a future date was not used for filing

12.3 Add-on Services

A full refund for the following add-on services is available only if the work has not yet been started or submitted:

  • Minute Book – if the minute book has not been prepared
  • Initial Return Filing – if the filing has not been submitted to the government yet
  • Annual Return / Declaration – if the filing has not been submitted to the government yet
  • Company Key – if the company key has not been provided via email yet
  • Domain / Email – if the domain or email addresses have not been registered yet
  • Google Listing – if the application process has not started yet
  • Business Number – if the business number has not been provided via email yet
  • GST / PST / Payroll / WCB Account Setup – if consent has not been given to proceed with CRA registrations
  • Share Certificate – if the Share Certificate has not been prepared
  • Corporate Seal – if the corporate seal has not been prepared
  • Trademark Pre-Submission Fees – if no search or analysis has been completed
  • Trademark Post-Submission Fees – if the trademark application has not been submitted to the government

12.4 Company-Initiated Refunds

Full refund of all fees (including Payment Processing Fees) if:

  • The requested service is outside the scope of our offerings, discovered after order placement
  • Business Canada lacks the legal authority to complete the service in the applicable jurisdiction
  • An unremediable technical failure solely on our systems prevents service completion

Refund of Agency Fee and Service-Specific Fees (Payment Processing Fees retained) if:

  • Business Canada makes a processing error (e.g., incorrect service processed)

The following are not grounds for a company-initiated refund:

  • Government rejection of a filing or application
  • Requested business name being unavailable
  • Incorrect, incomplete, or insufficient information provided by the customer
  • Customer failing to respond to requests for required information or documentation
  • Customer changing their mind after order placement
  • Service processing time exceeding customer expectations

12.5 Chargeback & Disputes

The following are not valid grounds for initiating a chargeback or payment dispute:

  • Order placed in error or by mistake
  • Immediate cancellation request after order placement
  • Belief that Business Canada is a government agency
  • Dissatisfaction with service speed or delivery time
  • Buyer's remorse or change of mind

Upon receiving notice of a chargeback, we will attempt to contact the User and resolve the matter directly. If unresolved, we reserve the right to respond through payment processor channels. Evidence we may provide includes:

  • Government documents prepared, submitted, or received on behalf of the User
  • Proof of any physical goods prepared or shipped
  • Email correspondence and order confirmations
  • Payment transaction details and receipts
  • Recorded phone conversations
  • Any other documentation relevant to the transaction

As a condition of resolving any dispute, Business Canada reserves the right to require the User to enter into a Non-Disparagement Agreement restricting negative public statements about Business Canada on any platform, including social media and review websites.

13. Third-Party Websites and Content

Our Website may contain links to third-party websites or content. We do not investigate, monitor, or check these for accuracy, appropriateness, or completeness, and we are not responsible for their practices, policies, or content. If you leave our Services and access third-party websites, these Legal Terms no longer apply and you do so at your own risk.

21. Indemnification

You agree to defend, indemnify, and hold Business Canada harmless from and against any and all claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with any third-party claim related to the products or services' quality or performance, or your use of any information obtained from our Website.

22. Waiver and Severability

If any provision of these Terms and Conditions is found to be unenforceable under applicable law, that will not affect the enforceability of the other provisions. No failure by the Company to assert a right or provision shall constitute a waiver of that right or provision.

23. Electronic Communications, Transactions, and Signatures

By visiting our Website, emailing us, or completing online forms, you consent to receive electronic communications. If a force majeure event prevents performance for more than 60 consecutive days, either party may terminate the affected services upon written notice. Force majeure does not excuse the obligation to pay money already owed.

25. Assignment

You may not assign or transfer these Legal Terms or any of your rights or obligations without our prior written consent. We may assign these Legal Terms or any of our rights at any time without notice or consent. Any unauthorized assignment shall be null and void.

26. Entire Agreement

These Terms and Conditions and other relevant policies incorporated herein constitute the sole and entire agreement between the User and the Company regarding the Website, superseding all prior understandings, agreements, representations, and warranties of any kind.
