    What is a Named Corporation?
    A Named Corporation allows you to select a custom business name—e.g., Johnson Car Wash Inc. A Numbered Corporation does not include a custom name. Instead, a number is assigned by the government—e.g., 1000044599 Ontario Inc.
    What Is a Valid Nuans® Report?
    Nuans®, or Newly Upgraded Automated Name Search, is a federal database utilized to verify if there are any existing business names that could potentially conflict with your intended name. For registering a business in a province (Ontario, Alberta, New Brunswick, PEI), only the Nuans® Reservation Report specific to that province is accepted. Keep in mind that a federal Nuans® report cannot be used for this purpose.
    Is there any guidelines for name?
    A corporation’s name generally needs two components:
    Distinctive: A unique or invented word that sets your name apart (e.g., “Mike”)
    Descriptive: A common word describing your business activity (e.g., “Construction”) Example: Mike Construction “Mike” is distinctive, “Construction” is descriptive. Enter your preferred name, and we’ll help if adjustments are needed for approval
    Why need a legal ending?
    By law, every corporate name must include a legal ending. The government allows six options (like Inc., Ltd., or Corp.), all of which carry the same meaning. Choose the one that complements your business name best.
    What are the benefits of a trade name?
    Registering a trade name offers several benefits:
    a) It allows you to use a shorter, more marketable name for advertising, business signs, and brand development.
    b) It can simplify the process of obtaining municipal licenses and permits.
    c) It creates a public record of your business name, which can be a foundational step toward securing a trademark in the future.
    What is a numbered company with a trade name?
    The biggest advantage of a numbered company is is skipping the Nuans name search and name approval step. Therefore, the incorporation process is relatively faster and less expensive. However, the biggest disadvantage of a numbered company is, it does not have have a brand name for the purpose of marketing, business signs, and developing a brand. This disadvantage can be easily resoloved by adding a trade name.

    A corporation is required to have a physical registered office address in Ontario. P.O. box or virtual mail box address is not acceptable.

    What are the requirements for a corporation’s address?
    • The address must be a physical location within Ontario.
    • P.O. Boxes and virtual addresses are not permitted.
    • All official correspondence and legal documents related to the corporation will be sent to this address.
    What is the difference between the 2 Address options?
    The address service alone with provide your company with a registered address that will allow for it to comply with the registration requirements. This address is not for operations. Solely for registration purposes.The mail scanning to email service is for forwarding all email digitally to you if the address receives any government-related mail for your company.
    What Is an Address Service?
    The Address Service is an annual mail-handling and document-scanning solution we offer to corporations that do not have a local physical address in Ontario. This service can be renewed yearly for a similar fee. Any government or corporation-related mail received on your behalf will be scanned and emailed directly to you.
    How can I change my address in the future?
    You can update your corporation’s registered address at any time by paying the applicable filing fee. Many businesses initially use a home or residential address during incorporation and update it later once they acquire a commercial or office location.

    Impact of adding additional director(s)
    Each director has equal power and control over the corporation. The Second director can remove the primary director and vice versa. Therefore, you may add an additional director whom you trust.
    Can I add or remove a director later?
    Yes. At least one director must be listed at the time of incorporation. You can update the director information at any time in the future. If you opt for our Complete Maintenance package (available in the next steps), director changes can be made at no additional cost.
    What are the requirements to be a director?
    A director is responsible for overseeing the corporation's operations and has the authority to make administrative decisions, including appointing or removing other directors. To qualify as a director:

    Yes, the expense is tax creditable. When you incorporate a company, the expenses are called business development expenses which are tax creditable.

    What is share and why need it?
    Since a corporation is a separate legal entity than its owners, it could owned only by owning its shares. The corporation's assets and stocks are go split into pieces and each of these pieces is called share. If a corporation issues 100 shares with $1 each, the total net worth of the corporation is 100x$1=$100.
    Can I change share price in future?
    For simplicity of corporate filing, most people set up $1 share price in the beginning. Eventually, the share price and share numbers could be increased.
    What is Class A and B shares?
    A corporation's stock are split into shares. Those who own the shares, are in fact the owners of the corporation. Therefore, to make a classification of owners, shares are classified. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights.

    What does shareholder mean?
    In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of number of shares, the single shareholder owns 100% of the shares.
    How to set up share class?
    A corporation has 2 shareholders: John and Mike.
    Case 1: Both owners have rights to vote: Assign class A to both.
    Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
    How to set up share number?
    Share number cannot be in decimal point.
    Case 1: John, Mike and Ali own same percentage: Assign exact same number to each.
    Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali.
    Case 3: John owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to John, 49 to Mike and 49 to Ali.
    Can I change share details in future?

    An incorporated business MUST obtain a Business Number to have the access on Canada Revenue Agency account. Business Number is also known as RC number (RC0001). This is the unique identification of your business with CRA.

    What is Corporate tax ID?
    Corporations must report all income and expenses to the CRA. The Corporate Tax ID (also called RC0001) is the identifier used for this purpose. Every corporation must obtain a Corporate Tax ID from the CRA.
    Why initial return and official email is important?
    Filing your Initial Return is a mandatory step after incorporating your business in Ontario. It officially notifies the government about your corporation’s directors, registered office, officer’s name and designation, and official email address.
    Who needs a GST/HST account?

    What is an officer's role?
    The corporation's officers (President, CEO, VP, Secretary etc.) manage the business's daily operations, and in their different roles they are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
    Can one individual be in multiple roles?
    Most corporations, in the beginning, assign a single individual in multiple roles (director, incorporator, officer and shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
    What are the usual positions/designations?

    Who needs a payroll account?
    If you hire Employees including yourself, then you need a Payroll Account Number. If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA 'income splitting'. Please note, this is not a payroll service, rather the initial set up of a payroll account with CRA.
    What is import account?
    If your business involves importing physical goods, it is required. The government uses this account to process the customs clearance.
    What is export account?
    If your business involves exporting physical goods, it is required. The government uses this account to process the customs clearance.
    Do I need WSIB registration?
    Registering with Workplace Safety and Insurance Board (WSIB) is required for most businesses In Ontario within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WSIB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WSIB anyways for protection to their workers. We are not a government agency and are not affiliated with, endorsed by, or connected to any federal, provincial, or municipal government. Our services involve preparing and submitting documents to government agencies on your behalf, for which we charge service fees separate from any government fees.

    It is your responsibility as a User to ensure that your use of this Website and our services complies with the laws and regulations of your country or jurisdiction.

    2. Intellectual Property Rights

    2.1 Our Intellectual Property Rights

    The materials on this Website — including all content, features, illustrations, images, icons, and logos — are the intellectual property of Business Canada, protected by domestic and international copyright, trademark, and other intellectual property laws.

    You are authorized to print or download pages from the Website for your own business purposes, or if you are a professional intermediary, on behalf of your clients. You are NOT allowed to:

    Prohibited Uses: You may not:

    • Use our services to operate a competing incorporation or business registration service
    • Violate any laws or regulations
    • Infringe on the rights of others
    • Attempt to gain unauthorized access to our systems
    • Use our Services to distribute harmful or illegal content

    We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

    4. Users' Representations

    By using the Services, you indicate and certify that:

    • All the information you provide to us is true, correct, and complete
    • You will inform us immediately if there is any change in your information
    • You have the legal age and capacity to enter into this Agreement
    • You will only use our Website and Services for legal and authorized purposes
    • You will not violate any applicable law or regulation

    5. Users' Restrictions

    By using this Website, you are solely responsible for the activities that occur when you use our Site or Services. Business Canada reserves the right to determine whether any content is appropriate and complies with these Terms and Conditions.

    6. Users' Identity Verification and Authorization for Payment

    Business Canada follows the standard rules of Identity Verification according to Canadian law, including PIPEDA and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business. We will not process an order or offer a service until:

    • A successful Identity Verification of the payer is completed
    • Consent of Authorization for the payment has been obtained

    7. Users' Data

    We will maintain certain data that you transmit to the Services for the purpose of managing performance. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. We shall have no liability to you for any loss or corruption of any such data.

    7.1 Data Retention

    Business Canada retains customer information for varying periods based on the nature of the data and applicable legal requirements:

    • Financial Records: Billing information and credit card transaction records are retained for six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.
    • Order Documentation: Documents collected or generated in connection with orders are available in digital form at no additional charge for up to ninety (90) days following the completion of the order. After this 90-day period, a new service request and applicable fees will apply for document retrieval.

    8. Products and Services

    We make every effort to display accurate information about our products and services. However, we cannot certify that all information provided on our Website is correct, complete, or free of errors. Products and services are subject to availability, and prices are subject to change. We reserve the right to discontinue any products or services at any time for any reason.

    8.1 Address Service

    The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Business Canada solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.

    A separate Address Service Agreement must be fully executed before the service is active. The mail scanning service includes the following limitations:

    • Only official government correspondence will be accepted, scanned, and forwarded digitally to the User
    • All other mail, including bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender
    • Business Canada assumes no liability for refused mail or any consequences arising from such refusal

    The Address Service is provided on an annual subscription basis. If renewal payment is not received within thirty (30) days after the expiry date:

    • The outstanding amount will be sent to a collection agency
    • Business Canada will notify the relevant government authorities that the business is using the address without authorization
    • The User will be notified via phone and email before such actions are taken
    • The User may face legal consequences for unauthorized use of the address

    8.2 Agent Service (Agent for Service / Attorney Service)

    The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. A separate Agent Service Agreement must be fully executed before the service commences.

    The appointed agent does not have authority to:

    • Conduct business operations on behalf of the User
    • Enter into contracts or agreements
    • Make business decisions
    • Represent the User in any capacity beyond statutory requirements

    The Agent Service operates under the same annual subscription model as the Address Service, including all renewal, non-payment, and notification terms outlined in Section 8.1.

    8.3 Government Information and Documentation Fees

    Certain government-issued identifiers such as a Business Number or Ontario Company Key are issued at no cost by the government. However, Business Canada charges a service fee for:

    • Retrieving these credentials from government systems
    • Securing and safeguarding this sensitive information
    • Delivering the information through secure channels
    • Providing guidance on proper usage and security

    8.4 Instant and Automated Products

    Certain products such as instant name searches, NUANS reports, and document retrievals are generated or delivered automatically upon order placement. Because processing begins immediately, these products may be non-refundable as set out in Section 12.

    9. Purchases and Payment

    All prices are in Canadian currency (CAD). We accept the following forms of payment:

    • Visa
    • Mastercard
    • American Express
    • Discover
    • PayPal
    • Interac

    By ordering our Services or Products, you agree to provide current, complete, and accurate payment information. A binding contract between you and Business Canada is formed at the moment your payment is successfully processed.

    We reserve the right to reject any order if we consider there is a discrepancy, a possible scam, or if it does not meet our verification requirements. Billing errors such as duplicate charges will be corrected through administrative adjustments, handled separately from our Refund Policy.

    10. Service Term and Termination

    These Legal Terms shall remain in full force and effect while you use our Services. We reserve the right to deny access, terminate accounts, or remove posted content at any time and for any reason without notice or liability.

    We may terminate our services with you in the following cases:

    • If you violate our Agreement
    • If we cannot verify your identity
    • If we believe there is any suspicious activity on your part
    • If you do not provide the documentation we request in a timely manner

    When an agreement expires at the natural end of its term, no refund is available as the service has already been fully provided.

    11. Service Limitation and Expiration

    11.1 Suspension and Termination

    Business Canada reserves the right to suspend or terminate a service if there are consistent and material violations of policies, or if suspension or termination is required by law.

    11.2 Abandoned Orders

    If Business Canada requires additional information from a User and the User fails to respond, the following protocol applies:

    • Initial contact is made by phone and email
    • A second reminder is sent if no response is received within 7 days
    • A third and final reminder with a deadline is sent after a further 7 days
    • If no response is received within 28 days of initial contact, the order is deemed abandoned and closed with no refund issued

    Reactivation of abandoned orders is at our sole discretion and may require a reactivation fee before Services can resume.

    12. Refund Policy

    Refund eligibility is determined by the work completed at the time of your cancellation request. If you wish to cancel your order, contact us as soon as possible.

    12.1 Non-Refundable Fees

    The following fees are non-refundable for all orders, regardless of order value, completion status, or timing of cancellation:

    • Payment Processing Fees
    • Agency Fee (also referred to as Service Fee or Business Canada Fee)
    • Instant, Automated, or API-Delivered Product Fees (including Instant NUANS reports)
    • Name Search & Analysis Fees
    • Specialist Review Fees
    • Nuans® Report Fees
    • Name Approval Fees
    • Document Retrieval Fees

    These fees are non-refundable even if the order was placed in error or cancellation is requested immediately after ordering. Business Canada is a private company, not a government agency. Belief that you were transacting with a government entity is not grounds for a refund.

    12.2 Refundable Fees Under Certain Conditions

    • Government Fees – only if filing has not been submitted to the government yet
    • Draft Fees – only if a draft has not been sent for approval via email yet
    • Company Key Retrieval Fees – only if the company key has not been requested from the government yet
    • Shipping Fees – only if the shipping department has not started preparing the physical items
    • Future Date Fees – only if a future date was not used for filing

    12.3 Add-on Services

    A full refund for the following add-on services is available only if the work has not yet been started or submitted:

    • Minute Book – if the minute book has not been prepared
    • Initial Return Filing – if the filing has not been submitted to the government yet
    • Annual Return / Declaration – if the filing has not been submitted to the government yet
    • Company Key – if the company key has not been provided via email yet
    • Domain / Email – if the domain or email addresses have not been registered yet
    • Google Listing – if the application process has not started yet
    • Business Number – if the business number has not been provided via email yet
    • GST / PST / Payroll / WCB Account Setup – if consent has not been given to proceed with CRA registrations
    • Share Certificate – if the Share Certificate has not been prepared
    • Corporate Seal – if the corporate seal has not been prepared
    • Trademark Pre-Submission Fees – if no search or analysis has been completed
    • Trademark Post-Submission Fees – if the trademark application has not been submitted to the government

    12.4 Company-Initiated Refunds

    Full refund of all fees (including Payment Processing Fees) if:

    • The requested service is outside the scope of our offerings, discovered after order placement
    • Business Canada lacks the legal authority to complete the service in the applicable jurisdiction
    • An unremediable technical failure solely on our systems prevents service completion

    Refund of Agency Fee and Service-Specific Fees (Payment Processing Fees retained) if:

    • Business Canada makes a processing error (e.g., incorrect service processed)

    The following are not grounds for a company-initiated refund:

    • Government rejection of a filing or application
    • Requested business name being unavailable
    • Incorrect, incomplete, or insufficient information provided by the customer
    • Customer failing to respond to requests for required information or documentation
    • Customer changing their mind after order placement
    • Service processing time exceeding customer expectations

    12.5 Chargeback & Disputes

    The following are not valid grounds for initiating a chargeback or payment dispute:

    • Order placed in error or by mistake
    • Immediate cancellation request after order placement
    • Belief that Business Canada is a government agency
    • Dissatisfaction with service speed or delivery time
    • Buyer's remorse or change of mind

    Upon receiving notice of a chargeback, we will attempt to contact the User and resolve the matter directly. If unresolved, we reserve the right to respond through payment processor channels. Evidence we may provide includes:

    • Government documents prepared, submitted, or received on behalf of the User
    • Proof of any physical goods prepared or shipped
    • Email correspondence and order confirmations
    • Payment transaction details and receipts
    • Recorded phone conversations
    • Any other documentation relevant to the transaction

    As a condition of resolving any dispute, Business Canada reserves the right to require the User to enter into a Non-Disparagement Agreement restricting negative public statements about Business Canada on any platform, including social media and review websites.
